Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the products and services provided by DayZero Payments, Inc. (“DayZero,” “we,” “us,” or “our”), including the DayZero platform, website, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Account” means your registered user account on the Service.
  • “Advisory Firm” means an accounting, bookkeeping, or financial advisory firm that uses the Service to manage one or more Client Businesses.
  • “Business” means a business entity created within the Service for which financial data is managed.
  • “Client Business” means a Business managed by an Advisory Firm on behalf of its client.
  • “Client Portal User” means an individual granted limited access to a Client Business by an Advisory Firm.
  • “User Data” means any data, content, or information you or your authorized users submit, upload, or generate through the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Accounts & Registration

To use the Service, you must create an account through our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your account credentials secure and confidential.
  • Notify us immediately at support@ondayzero.com if you suspect unauthorized access to your account.
  • Not share your account or credentials with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Service Description

DayZero is a financial automation platform designed for accounting professionals and small businesses. The Service provides:

  • Accounting & bookkeeping: Double-entry general ledger, journal entries, chart of accounts, reconciliation, and financial statements (income statement, balance sheet, cash flow).
  • Accounts receivable: Invoice creation, customer management, credit memos, and payment tracking.
  • Accounts payable: Bill management, vendor tracking, approval workflows, and payment scheduling.
  • Banking: Bank account connections, transaction importing, categorization, and reconciliation.
  • Inventory management: Products, locations, orders, transfers, adjustments, production recipes, and shipment tracking.
  • Reporting & exports: Financial reports, scheduled reports, CSV/PDF exports, and budgets.
  • AI assistant: Natural language queries, automated categorization, AI-powered workflows, and spreadsheet import analysis.
  • Integrations: Connections to third-party financial services (see Section 7).
  • Advisory firm tools: Multi-business management, client portals, client messaging, and firm-level reporting.

5. User Roles & Permissions

The Service supports multiple user roles with different permission levels:

  • Owner: Full access including billing management, user management, and all data operations.
  • Admin: Full access to data operations and user management, excluding billing.
  • Member: Standard read and write access to business data.
  • Viewer: Read-only access to business data.
  • Client: Limited access to specific businesses as granted by an Advisory Firm.

Account owners and administrators are responsible for managing user access within their organizations. DayZero is not responsible for actions taken by users who have been granted access by your organization.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation, including financial regulations, anti-money laundering laws, and tax laws.
  • Upload or transmit any content that is unlawful, fraudulent, misleading, defamatory, or harmful.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Use the Service for any purpose that is competitive with DayZero or to build a competing product.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Use automated means (bots, scrapers) to access the Service except through our published API.
  • Submit intentionally false financial data for the purpose of fraud or misrepresentation.

7. Third-Party Integrations

The Service connects with third-party services to provide financial data aggregation, payment processing, and other functionality. These include but are not limited to:

  • Plaid — Bank account linking and transaction data. Subject to Plaid's Terms.
  • Stripe — Payment processing and connected accounts. Subject to Stripe's Terms.
  • Shopify — E-commerce order and financial data sync. Subject to Shopify's Terms.
  • Square — Point-of-sale transaction data. Subject to Square's Terms.
  • Ramp — Corporate card and expense data. Subject to Ramp's Platform Agreement.
  • Finch — Unified payroll/HRIS data integration (connects 250+ payroll providers). Subject to Finch's Terms.
  • HubSpot — CRM data synchronization. Subject to HubSpot's Terms.
  • Slack — Notification delivery. Subject to Slack's Terms.

By enabling any third-party integration, you authorize DayZero to access, retrieve, and process data from those services on your behalf. Each third-party service is governed by its own terms and privacy policies. DayZero is not responsible for the practices, availability, or accuracy of any third-party service.

You are responsible for maintaining valid credentials and authorization for any third-party integrations you enable. DayZero may suspend access to integrations if credentials expire or are revoked.

8. AI Features & Disclaimers

The Service includes artificial intelligence features powered by third-party large language models (including OpenAI and Anthropic). These features provide:

  • Natural language querying of your financial data.
  • Automated transaction categorization and suggestions.
  • AI-generated financial insights and recommendations.
  • Workflow automation and custom AI-powered processes.
  • Spreadsheet and document analysis for data import.

AI features are provided for informational and productivity purposes only. AI-generated output does not constitute professional financial, accounting, tax, or legal advice. You should not rely solely on AI-generated output for making financial decisions. You are responsible for reviewing, verifying, and approving all AI-generated content before acting on it.

AI outputs may be inaccurate, incomplete, or outdated. DayZero makes no warranties regarding the accuracy or reliability of AI-generated content. We are not responsible for any losses or damages resulting from reliance on AI outputs.

To improve AI accuracy, the Service may store conversation history, user preferences, and contextual memory. See our Privacy Policy for details on AI data handling.

9. API Access

We may provide programmatic access to the Service through our API. API access is subject to:

  • Authentication via issued API tokens, which must be kept confidential.
  • Rate limits as published in our API documentation.
  • All provisions of these Terms, including acceptable use.
  • Any additional terms published in our API documentation.

You are responsible for all API calls made using your tokens. Compromised tokens must be revoked immediately through the Service. We reserve the right to revoke API access at any time for violations of these Terms.

10. Data Ownership

Your data is yours. You retain all rights, title, and interest in your User Data. By using the Service, you grant DayZero a limited, non-exclusive license to use, process, and store your User Data solely for the purpose of providing and improving the Service.

We will not sell your User Data to third parties. We will not use your financial data for advertising purposes. We will not share your User Data with third parties except as described in our Privacy Policy and as necessary to provide the Service.

You may export your User Data at any time through the Service's export features. Upon termination of your account, you may request export of your data within 30 days. After 30 days, we may delete your data in accordance with our data retention practices.

11. Payment Terms

Certain features of the Service may require a paid subscription. Payment is processed through Stripe. By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your selected plan, billed in advance on a recurring basis.
  • Provide accurate and up-to-date payment information.
  • Automatic renewal of your subscription at the end of each billing cycle unless canceled before the renewal date.

All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

12. Intellectual Property

The Service, including its software, design, features, documentation, and all related intellectual property, is owned by DayZero Payments, Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

“DayZero” and the DayZero logo are trademarks of DayZero Payments, Inc. You may not use our trademarks without prior written consent.

13. Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes, but is not limited to, financial data, business strategies, customer lists, and proprietary technology.

This obligation does not apply to information that is publicly known, was known to the receiving party prior to disclosure, is independently developed, or is required to be disclosed by law or regulation.

14. Termination

By you

You may stop using the Service and close your account at any time by contacting us at support@ondayzero.com. If you have a paid subscription, cancellation takes effect at the end of your current billing period.

By us

We may suspend or terminate your access to the Service immediately if:

  • You violate these Terms.
  • Your use of the Service poses a security risk to us or other users.
  • We are required to do so by law or regulation.
  • Your account has been inactive for 12 or more consecutive months.

Effect of termination

Upon termination, your right to access the Service ceases immediately. We will retain your User Data for 30 days following termination, during which you may request an export. After 30 days, we may permanently delete your data. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, DayZero does not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • Financial data retrieved through third-party integrations (Plaid, Stripe, Shopify, etc.) will be accurate, complete, or current.
  • AI-generated outputs will be accurate or suitable for any particular purpose.
  • The Service will meet your specific accounting, tax, or regulatory requirements.

DayZero is not an accounting firm, law firm, or financial advisor. The Service is a software tool and does not provide professional accounting, tax, legal, or financial advice. You are solely responsible for ensuring that your use of the Service complies with applicable accounting standards, tax regulations, and financial reporting requirements.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAYZERO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAYZERO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DAYZERO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and whether or not DayZero has been advised of the possibility of such damages.

17. Indemnification

You agree to indemnify, defend, and hold harmless DayZero Payments, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any User Data you submit through the Service.
  • Your failure to comply with applicable laws or regulations.

18. Dispute Resolution

Governing law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Essex County, New Jersey. The arbitrator's decision shall be final and binding.

Class action waiver

You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.

Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

19. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Service and updating the “Effective” date at the top of this page. For material changes, we will also notify you via email at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

20. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DayZero regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force majeure: DayZero shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
  • Notices: Notices to you will be sent to the email address associated with your account. Notices to DayZero should be sent to legal@ondayzero.com.
